Common use of Corrupt Practices Clause in Contracts

Corrupt Practices. Neither the Company nor, to the Company’s knowledge, any other person associated with or acting on behalf of the Company, including without limitation any director, officer, agent or employee of the Company or its Subsidiaries has, directly or indirectly, while acting on behalf of the Company or its Subsidiaries (i) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity, (ii) made any unlawful payment to foreign or domestic government officials or employees or to foreign or domestic political parties or campaigns from corporate funds, (iii) violated any provision of the Foreign Corrupt Practices Act of 1977, as amended or (iv) made any other unlawful payment.

Corrupt Practices. Neither the Company nornor any Subsidiary, nor to the Company’s knowledge, any other person associated with or acting on behalf Knowledge of the Company, including without limitation Company any director, officer, employee, agent or employee of the Company or its Subsidiaries has, directly or indirectly, while other Person acting on behalf of the Company or any Subsidiary has, in the course of his or its actions for, or on behalf of the Company or any of the Subsidiaries (i) used any corporate funds for any unlawful contributions, giftscontribution gift, entertainment or other unlawful expenses expense relating to political activity, ; (ii) made any direct or indirect unlawful payment to any foreign or domestic government officials official or employees or to foreign or domestic political parties or campaigns from corporate funds, ; (iii) violated or is in violation of in any material respect any provision of the U.S. Foreign Corrupt Practices Act of 1977, as amended amended, or (iv) made any unlawful bribe, rebate, payoff, influence payment, kickback or other unlawful paymentpayment to any foreign or domestic government official or employee.

Corrupt Practices. Neither the Company nor, to the knowledge of the Company’s knowledge, any agent or other person associated with or acting on behalf of the Company, including without limitation any director, officer, agent or employee of the Company or its Subsidiaries has, have (i) directly or indirectly, while acting on behalf of the Company or its Subsidiaries (i) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating related to foreign or domestic political activity, (ii) made any unlawful payment to foreign or domestic government officials or employees or to foreign or domestic political parties or campaigns from corporate funds, (iii) failed to disclose fully any contribution made by the Company or made by any person acting on its behalf and of which the Company is aware in violation of law, or (iv) violated in any material respect any provision of the Foreign Corrupt Practices Act of 1977, as amended or (iv) made any other unlawful paymentamended.

Corrupt Practices. Neither the Company nor, to the Company’s knowledge, any other person associated with or acting on behalf of the Company, including without limitation any director, officer, agent or employee of the Company or its the Subsidiaries has, directly or indirectly, while acting on behalf of the Company or its the Subsidiaries (i) used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity, (ii) made any unlawful payment to foreign or domestic government officials or employees or to foreign or domestic political parties or campaigns from corporate funds, (iii) violated any provision of the Foreign Corrupt Practices Act of 1977, as amended to the extent applicable to the Company and/or its Subsidiaries, or (iv) made any other unlawful paymentpayment under any applicable foreign, federal or state law.
