Common use of Corporate Identity Clause in Contracts

Corporate Identity. At any time change its name, identity, corporate structure or location unless at least 10 days prior thereto the Transferor shall have delivered to the Agent UCC financing statements or other statements amending or otherwise modifying UCC financing statements filed hereunder in order to maintain a first perfected ownership interest in favor of the Agent on behalf of the Purchaser and the Bank Investors hereunder.

At any time change its name, identity, corporate structure structure, location or location jurisdiction of incorporation unless at least 10 days prior thereto the Transferor shall have delivered to the Agent UCC financing statements or other statements amending or otherwise modifying UCC financing statements filed hereunder in order to maintain a first perfected ownership interest in favor of the Agent on behalf of the Purchaser and the Bank Investors hereunder.
