Common use of Corporate Franchises Clause in Contracts

Corporate Franchises. Holdings will do, and will cause each of -------------------- its Subsidiaries to do, or cause to be done, all things necessary to preserve and keep in full force and effect its existence and its material rights, franchises and authority to do business; provided, however, that any transaction -------- ------- permitted by Section 8.02 will not constitute a breach of this Section 7.05.
