Common use of Corporate Books and Records Clause in Contracts

Corporate Books and Records. The Company has furnished to Buyer true and complete copies of (a) the Articles of Incorporation and Bylaws of the Company as currently in effect, including all amendments thereto, (b) the minute books of the Company, and (c) the stock transfer books of the Company. Such minutes reflect all meetings of the Company's shareholders, Board of Directors and any committees thereof since the Company's inception, and such minutes accurately reflect the events of and actions taken at such meetings. Such stock transfer books accurately reflect all issuances and transfers of shares of capital stock of the Company since its inception.

Corporate Books and Records. The Company has furnished to Buyer Purchaser or its representatives for their examination true and complete copies of (a) the Articles Act of Incorporation and Bylaws the Articles of Association of the Company as currently in effect, including all amendments thereto, (b) the minute books of the Company, and (c) the stock transfer books of the CompanyCompany . Such minutes reflect all meetings of the Company's shareholders, Shareholders and Board of Directors and any committees thereof since the Company's inception, and such minutes accurately reflect in all material respects the events of and actions taken at such meetings. Such stock transfer books accurately reflect all issuances and transfers of shares of capital stock of the Company and all transfers of shares notified to the Company since its inception.

The Company has furnished to Buyer Parent or its representatives for their examination true and complete copies of (a) the Articles Certificate of Incorporation and Bylaws of the Company as currently in effect, including all amendments thereto, (b) the minute books of the Company, and (c) the stock transfer books of the Company. Such minutes reflect all meetings of the Company's shareholdersstockholders, Board of Directors and any committees thereof since the Company's inception, and such minutes accurately reflect the events of and actions taken at such meetings. Such stock transfer books accurately reflect all issuances issuances, transfers and transfers cancellations of shares of capital stock of the Company since its inception.

The Company has furnished to Buyer N2H2 or its representatives for their examination true and complete copies of (a) the Articles of Incorporation and Bylaws Constitution of the Company as currently in effect, including all amendments theretothereto through the date of this Agreement, (b) the minute books of the Company, and (c) the stock transfer books of the Company. Such minutes reflect all meetings of the Company's shareholdersShareholders, Board of Directors and any committees thereof since the Company's inception, and such minutes accurately reflect in all material respects the events of and actions taken at such meetings.
