Common use of Corporate and Governmental Authorization; Contravention Clause in Contracts

Corporate and Governmental Authorization; Contravention. The execution, delivery and performance by the Servicer of this Agreement are within the Servicer's corporate powers, have been duly authorized by all necessary corporate action, require no action by or in respect of, or filing with, any Governmental Authority or official thereof, and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule or regulation or of the Certificate of Incorporation or Bylaws of the Servicer or of any agreement, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim on the assets of the Servicer or any of its Subsidiaries.

The execution, delivery and performance by the Servicer of this Agreement are is within the Servicer's corporate powers, have has been duly authorized by all necessary corporate action, require requires no action by or in respect of, or filing with, any Governmental Authority governmental body, agency or official thereofofficial, and do does not contravene, conflict withcontravene or violate, or constitute a default under, any provision of applicable lawlaw or to the best of Servicer's knowledge any order, rule rule, or regulation applicable to the Servicer or of the Certificate Articles of Incorporation or Bylaws of the Servicer or of any agreementagreement of a material nature, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer Servicer, or result in the creation or imposition of any Adverse Claim lien on the assets of the Servicer or any of its Subsidiaries.

The execution, delivery and performance by the Servicer of this Agreement and the other Transaction Documents to which it is a party are within the Servicer's corporate powers, have been duly authorized by all necessary corporate action, require no action by or in respect of, or filing with, any Governmental Authority governmental body, agency or official thereof(except as contemplated by Section 2.2), and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule law or regulation or of the Certificate of Incorporation charter or Bylaws of the Servicer or of any agreement, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim lien on the assets of the Servicer or any of its SubsidiariesSubsidiaries (except as contemplated by Section 2.2 or any other provision of this Agreement or any other Transaction Document).

The execution, delivery and performance by the Servicer of this Agreement and the other Transaction Documents are within the Servicer's ’s corporate powers, have been duly authorized by all necessary corporate action, require no action by or in respect of, or require the consent or approval of, or the filing of any notice or other documentation with, any Governmental Authority or official thereofOfficial Body (except as contemplated by Section 2.6 hereof), and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule law or regulation or of the Certificate certificate of Incorporation incorporation or Bylaws bylaws of the Servicer or of any agreement, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim on the assets of the Servicer or any of its SubsidiariesSubsidiaries (except as contemplated by Section 2.6 hereof).

The execution, delivery and performance by the Servicer of this Agreement and the other Transaction Documents to which it is a party are within the Servicer's ’s corporate powers, have been duly authorized by all necessary corporate action, require no action by or in respect of, or filing with, any Governmental Authority Official Body or official thereof, and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule or regulation or of the Certificate certificate of Incorporation incorporation or Bylaws bylaws of the Servicer or of any agreement, agreement or of any judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim Lien on the assets of the Servicer or any of its SubsidiariesServicer.

Corporate and Governmental Authorization; Contravention. The execution, delivery and performance by the Servicer of this Agreement and each other Transaction Document to which it is a party are within the Servicer's corporate ’s company powers, have been duly authorized by all necessary corporate company action, require no action by or in respect of, or filing with, any Governmental Authority governmental body, agency or official thereofofficial, and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule law or regulation or of the Certificate of Incorporation or Bylaws organizational documents of the Servicer or of any agreement, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim lien on the assets of the Servicer which contraventions or defaults would have a Material Adverse Effect with respect to the Servicer or any of its Subsidiaries.

The execution, delivery and performance by the Servicer of this Agreement and the Security Agreement are within the Servicer's corporate powers, have been duly authorized by all necessary corporate action, require no action by or in respect of, or filing with, any Governmental Authority Official Body or official thereof, and do not contravene, conflict with, or constitute a default under, any provision of applicable law, rule or regulation or of the Certificate of Incorporation or Bylaws of the Servicer or of any agreement, judgment, injunction, order, writ, decree or other instrument binding upon the Servicer or result in the creation or imposition of any Adverse Claim adverse claim on the assets of the Servicer or any of its Subsidiaries.
