Cooperation Duties. Each Party shall reasonably cooperate with and assist the other Party and execute, and cause its employees, agents and subcontractors to execute such documents as necessary to grant the other Party the ownership rights described under this Article 9.

Customer shall support ▇▇▇▇▇ during the Term to a reasonable extent, and Customer, in particular, shall designate at least one dedicated contact person for the performance of the Order Form and these ▇▇▇▇▇ ToS, both for commercial and technical questions, that is duly authorized by Customer to legally represent Customer. Customer shall have the right to change any such contact person only upon prior written notice to ▇▇▇▇▇. MONDA shall not be liable for a failure to provide the Platform or Customer Account in accordance with these ▇▇▇▇▇ ToS to the extent that such failure is based on Customer’s failure to provide the cooperation or assistance pursuant to this section 5.6. Furthermore, Customer shall reimburse ▇▇▇▇▇ for the costs reasonably incurred due to Customer’s failure to provide the required cooperation or assistance. However, this shall not apply to the extent that ▇▇▇▇▇ failed to take the mitigation actions described hereinafter. If Customer fails to provide the cooperation or assistance pursuant to this section 5.6, ▇▇▇▇▇ shall (a) prove to have advised Customer of the required cooperation in advance; (b) notify Customer about its failure to provide the respective cooperation or assistance; and (c) use commercially reasonable endeavors to avoid or mitigate the impact of such omission by Customer on the (timely) provision of the Platform.
Cooperation Duties. (a) The parties hereto agree to cooperate in good faith and in a commercially reasonable manner in connection with the exercise by Agent of the rights granted to it and the Banks by law, the Loan Documents and this Agreement, including, without limitation, providing necessary information to Agent with respect to the Obligations, and preparing and executing necessary affidavits, certificates, notices, instruments and documents.
(b) Each Bank shall upon written demand deliver to Agent a special power of attorney (or similar instrument) acceptable to Agent and executed in recordable form, as may be reasonably required by Agent to authorize Agent on behalf of each Bank to take any and all action authorized pursuant to this Agreement.
(c) Only Agent may perform the duties reserved to it under the Loan Documents and this Agreement and no Bank shall act or purport to act on behalf of the other Banks or Agent on any such matters.
(d) No Bank identified in this Agreement or the Loan Documents as a "co-agent" or "lead manager" shall have any right, power, obligation or responsibility other than those applicable to all Banks as such.
(e) Each Bank acknowledges that it has not relied and will not rely on Agent or any Bank identified as a co-agent or lead manager in deciding to enter into this Agreement or in taking or not taking action hereunder.
Cooperation Duties. In order to obtain the Regulatory Clearances, the Bidder and the Company shall cooperate, to the extent legally permissible, in all respects and consult with each other in the preparation of the filings and in connection with any submission, investigation, or inquiry, supply to any competent authority as promptly as practicable any additional information requested pursuant to any applicable Law, and take all other procedural actions required in order to obtain any necessary clearance or to cause any applicable waiting periods to commence and expire. Notwithstanding the foregoing or anything else herein to the contrary, the Bidder shall, following consultation with the Company, determine the strategy and lead the effort to obtain and secure the expiration or termination of any applicable waiting periods under the HSR Act or any other applicable Antitrust Law and obtain any Regulatory Clearance in connection with the Takeover.
Cooperation Duties. In order to obtain the Clearances, the Parties shall cooperate, to the extent legally permissible, in all respects with each other in the preparation of the filings and in connection with any submission, investigation, or inquiry, supply to any competent authority as promptly as practicable any additional information requested pursuant to any applicable law or regulation, and take all other reasonable procedural actions (other than offering remedies to mitigate competition concerns by a relevant competition authority and/or accepting any limitations for the business as set forth in Section 14.3) required in order to obtain any necessary clearance or to cause any applicable waiting periods to commence and expire.
Cooperation Duties. 7.1 General Cooperation Client will ensure that all cooperation services (data, interview partners and infrastructure access) required for the performance of the work/service agreed will be provided in due time, in full and free of charge for Company. All services provided by Client are a precondition for the contractual performance of work/services by Company.
7.2 Infrastructure Client will ensure access by the Company to the Client’s communication and data processing systems, to the extent required. The access will be given via remote access, unless agreed otherwise.
