Common use of Cooperate in Legal Proceedings Clause in Contracts

Cooperate in Legal Proceedings. Borrower shall at Borrower’s expense cooperate fully with Lender with respect to any proceedings before any court, board or other Governmental Authority which would reasonably be expected to have, or does have, a Material Adverse Effect and, in connection therewith, permit Lender, at its election, to participate in any such proceedings, other than those proceedings where Borrower and Lender are adverse parties.

Cooperate in Legal Proceedings. Borrower shall, and shall cause Mortgage Borrower to, at Borrower’s expense cooperate fully with Lender with respect to any proceedings before any court, board or other Governmental Authority which would reasonably be expected to have, or does have, a Material Adverse Effect and, in connection therewith, permit Lender, at its election, to participate in any such proceedings, other than those proceedings where Borrower and Lender are adverse parties.

Borrower shall use commercially reasonable efforts, at Borrower’s expense expense, to cooperate fully with Lender with respect to any proceedings before any court, board or other Governmental Authority which would reasonably be expected to have, or does have, a Material Adverse Effect and, in connection therewith, permit Lender, at its election, to participate in any such proceedings, other than those proceedings where Borrower and Lender are adverse parties.

Borrower shall at Borrower’s expense cooperate fully with Lender with respect to any proceedings before any court, board or other Governmental Authority or tribunal (including any arbitration or mediation) which would reasonably be expected to have, may in any way affect the rights of Lender hereunder or does have, a Material Adverse Effect any rights obtained by Lender under any of the other Loan Documents and, in connection therewith, permit Lender, at its electionelection and expense, to participate in any such proceedings; provided, other than those proceedings where Borrower and Lender are adverse partieshowever, that if any such proceeding is reasonably likely to adversely affect Lender, such participation shall be at Borrower’s expense.
