Common use of Conveyancing Instruments Clause in Contracts

Conveyancing Instruments. The Assets to be conveyed by Seller to Buyer at Closing pursuant to Section 1.1(a) shall be conveyed “AS IS, WHERE IS”, without warranty of title except against claims of title arising by, through or under Seller, but not otherwise, and subject to the express conditions and limitations contained in this Agreement. The Assets to be transferred to Buyer pursuant to Section 1.1(a) shall be transferred pursuant to an Assignment and Xxxx of Sale in the form of Exhibit “C” (the “Assignment”) and such other necessary instruments as specified in Section 10.2.

Conveyancing Instruments. The portion of the Assets to be conveyed by Seller which are referred to in Section 1.1.1 a) above shall be by special warranty of title, by through and under Seller. The remainder of the Assets to be conveyed by Seller to Buyer at Closing pursuant to Section 1.1(a) 1.1.1 shall be conveyed “"AS IS, WHERE IS”, without warranty of title except against claims of title arising by, through or under Seller, but not otherwise, and subject to " with the express conditions and limitations contained in this Agreement. The Assets to be transferred to Buyer pursuant to Section 1.1(a) 1.1.1 shall be transferred pursuant to an Assignment and Xxxx of Sale as provided in Section 10.2 hereof in substantially the form of Exhibit “C” "B" (the “"Assignment”) and such other necessary instruments as specified in Section 10.2").
