Conversion Assistance. You will pay Epic for any time spent by Epic personnel in connection with any implementation, consultation or conversion associated with any change of processor, operating system or Operating Environment software publisher, all at Epic's then standard hourly rates.

Conversion Assistance. Upon the execution of the Agreement, VITAL agrees to begin the conversion transition process, if terminals or merchant accounts are to be converted for Merchant Services, that entails the analysis of HEARTLAND’s existing merchant data and POS services. At the conclusion of the above analysis, the parties agree to define the commencement and conclusion dates for the conversion of HEARTLAND’s merchants and terminals for Merchant Services and to complete a conversion plan (“Conversion Plan”).
Conversion Assistance. Vendor may, at its sole discretion, assist Customer in the conversion of Customer's files from a computer processor or in-house computer system at Vendor's normal charges for such assistance. Expenses, including but not limited to computer time, travel, meals, lodging and local transportation incurred connection therewith, shall be borne by Customer. In no event shall Vendor be liable to Customer for loss of profits, consequential, incidental, indirect or special damages arising from Vendor's efforts to assist in the conversion of Customer's files. Vendor agrees to treat Customer's confidential business with the same security as it would its own. 3.8
Conversion Assistance. As part of the contract, a Tyler trainer will be at the Client location during the actual conversion. The trainer will provide conversion assistance in the areas of preliminary setup, conversion program execution and data validation. Even though the primary focus of the trainer is a successful completion of the conversion process, the trainer will be providing a limited amount of training in certain areas. In a majority of cases, the trainer responsible for the conversion assistance will also be responsible for the training that will occur either before or after the conversion. It is important to note that the trainer will not be the programmer responsible for the creating or modifying conversion program. The trainer will be responsible for conveying to the programmer discovery of Client specific information before the final conversion and any mistakes found after the conversion. The Client will need to facilitate the trainer by providing a comfortable place to work, access to facilities before and after normal work hours and telephone communications.
Conversion Assistance. Upon termination of this Agreement, Xxxxxxxx agrees to assist COAF in the Conversion of the Accounts. For the purposes of this Agreement, “Conversion” shall mean the transfer of information concerning Accounts from the computer equipment, computer software and related equipment used by Hibernia in the performance of the Services and the transfer of responsibility for providing such Services from Hibernia to an unaffiliated third party. For the purposes of this Agreement, “Account” shall mean any account (including credit accounts) with any customer of COAF. The Parties shall mutually agree upon a Conversion plan, pursuant to which Hibernia shall perform the services necessary to facilitate the transfer of the processing and administration business of the Accounts to an internal or third party system selected by COAF. The cost of the Conversion shall be borne by COAF.
Conversion Assistance. The Contractor shall provide conversion assistance for documents, images, data, and support software. With regard to documents, images and data from one or more of a variety of source media (e.g., paper, microfilm/fiche, electronic, etc.) The Contractor shall convert documents, images and data in such a way that it can be stored and retrieved on one or more of a variety of destination media (e.g., magnetic tape, optical disk, laser disk, paper, etc.). After studying the documents to be converted, the Contractor shall determine and recommend the most appropriate method of conversion and storage (e.g., micrographics, digital imaging, a combination of both, etc.), taking into consideration the intended use of the data and information, the cost of implementation, and other defined factors. After Government approval, the Contractor shall apply the approved method and convert the necessary documents, images and/or data. The Contractor shall also provide conversion assistance for support software. The Contractor shall convert the necessary flies, programs, data bases, and other software to effectively integrate the document imaging system into the existing environment. Software acceptance Software conversion assistance may be performed at either the Contractor's site, or on-site at the Government organization place of business. Specific conversion tasks and locations will be described within individual delivery orders.

Conversion Assistance. From the date hereof until the Closing Date, the Buyer and the Seller shall, and the Seller shall cause the Company to, cooperate in good faith and use commercially reasonable efforts to resolve any adverse issues relating to or arising out of the Company’s conversion to the brokerage platform of National Finance Services LLC. Without limiting the generality of the foregoing, the Buyer and the Seller shall, and the Seller shall cause the Company to, use commercially reasonable efforts to (i) develop mutually acceptable corrective actions and milestone with respect to such issues, and (ii) implement and meet such actions and milestones prior to the Closing Date, in each case, at no material cost to and without imposing any material burden on the Seller or any of its Affiliates (including the Company).
