Controlled Affiliate. Controlled Affiliate" shall mean, with respect to any Person, any other Person more than fifty percent (50%) of the outstanding voting securities of which is beneficially owned, and any other Person which is actually controlled, directly or indirectly, by such Person or one or more of its Controlled Affiliates. For purposes of this Agreement, each of MW and E▇▇▇▇▇-▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ shall be deemed to be Controlled Affiliates of Shareholder.
