Controlled Affiliate. Any person or entity shall be deemed to be a “Controlled Affiliate” of Employer if Employer, whether directly or indirectly through common ownership or common management owns a majority ownership or majority voting interest in such entity and (i) maintains the power, right or authority to control, manage or direct such entity’s day-to-day operations, or (ii) maintains the power, right or authority to assign, or direct the assignment, or veto or block the assignment of Carhaul Work to such entity, or to prevent such entity from performing Carhaul Work.
Controlled Affiliate. Controlled Affiliate" with respect to a Person shall mean any Affiliate of such Person that is controlled by such Person.
Controlled Affiliate. Controlled Affiliate" shall mean, with respect to any Person, any other Person more than fifty percent (50%) of the outstanding voting securities of which is beneficially owned, and any other Person which is actually controlled, directly or indirectly, by such Person or one or more of its Controlled Affiliates. For purposes of this Agreement, each of MW and Exxxxx-Xxxxxxx Xxxxxxxxx shall be deemed to be Controlled Affiliates of Shareholder.
Controlled Affiliate. Controlled Affiliate. When used with reference to a specified Person, an Affiliate of such Person that such Person directly, or through one or more intermediaries, Controls; provided that, (a) none of United and its Controlled Affiliates shall be deemed to be a Controlled Affiliate of a Liberty Party and (b) any Person in which United, directly or indirectly, Beneficially Owns 50% or more of the equity securities, without regard to voting power in the election of directors, shall (without limiting the generality of this definition) be deemed to be a Controlled Affiliate of United. Controlling Principals. As defined in the Stockholders Agreement.
Controlled Affiliate. As used herein, the term "Controlled Affiliate" means, with respect to any Person, any (a) director, officer, limited or general partner, member or stockholder holding 5% or more of the outstanding capital stock or other equity interests of such Person, and (b) any other Person that, directly or indirectly, through one or more intermediaries, is controlled by such Person.

The Controlled Affiliate License provides a flexible vehicle to accommodate the potential range of health and workers' compensation related products and services Plan Controlled Affiliates provide. The Controlled Affiliate License collapses former health Controlled Affiliate licenses (HCC, HMO, PPO, TPA, and IDS) into a single license using the following business-based criteria to provide a framework for license standards: o Percent of Controlled Affiliate controlled by parent: Greater than 50 percent or 50 percent? o Risk assumption: yes or no? o Medical care delivery: yes or no?
