Contribution Consideration. (a) Subject to the terms and conditions set forth in this Agreement, at the Closing, Seller shall contribute to Buyer, and Buyer shall accept the contribution of, the Company Shares, free and clear of all Liens. (b) The aggregate consideration to be delivered by ▇▇▇▇▇ in exchange for Seller’s contribution of the Company Shares to Buyer shall be the Final Adjusted Share Consideration.
