CONTRACTOR’S ASSURANCES. Contractor warrants that the goods and services supplied to the City pursuant to this Contract shall at all times fully conform to the specifications set forth in the Invitation to Bid and be of the highest quality. In the event the City, in the City’s sole discretion, determines than any product or services supplied pursuant to this Contract is defective or does not conform to the specifications set forth in the Invitation to Bid, the City reserves the right unilaterally to cancel an order or cancel this Contract upon written notice [and an opportunity to cure if applicable] to the Contractor, and reduce commensurately any amount of money due the Contractor.
CONTRACTOR’S ASSURANCES. Contractor shall ensure that, as an entity, Contractor has been screened and cleared through the Office of Inspector General (OIG) Medicaid and Medicare Exclusions Database (▇▇▇▇://▇▇▇▇▇▇▇▇▇▇.▇▇▇.▇▇▇.▇▇▇/) and the List of Excluded Individuals/Entities (LEIE) database through System for Award Management (▇▇▇) (▇▇▇▇▇://▇▇▇.▇▇▇.gov) prior to providing any Services for SBH.
CONTRACTOR’S ASSURANCES. 1.1 The Contractor guarantees it carries out business activities to the extent necessary for the realization of the subject matter of the agreement, and to have the necessary knowledge, experience, technical capabilities and qualifications necessary for the proper performance of the Order. 1.2 The Contractor shall ensure that the Order will be executed properly in accordance with the best engineering practice, the rules of contemporary technical knowledge, any regulations and standards applicable at the date of signing the Contract. 1.3 The Contractor shall ensure that the executed Order will be complete from the point of view of the Order purpose specified in § 4. 1.4 The Contractor guarantees that no proceedings are pending against the Contractor, including proceeding pursuant to the provisions of the Bankruptcy Law or the restructuring law, as well as there are no grounds for initiating such proceedings nor any application has been filed in this regard, which could result in depriving or significantly limiting the Contractor's ability to fulfil obligations under this agreement or the validity and enforceability of this agreement, and if so, undertakes to immediately inform the Ordering Party of the initiation of such proceedings. 1.5 The Contractor declares that, prior to signing the agreement, he has read carefully the offer documentation and technical specifications for completing and commissioning of works and also has familiarized himself with the construction site in the extent desired by him and does not raise any objections to them and considers them to be complete and sufficient for the full valuation of the works and to perform the subject matter of the agreement in accordance with the expectations of the Ordering Party, under the terms and conditions specified in this agreement for the contractual remuneration except of hidden objects or obstacles underground. 1.6 After the verification of the documentation attached to the agreement, the Contractor declares that the documentation does not contain defects and deficiencies affecting the quality, price and time of works covered by this agreement.
