Common use of Contract Execution and Performance Clause in Contracts

Contract Execution and Performance. A. Performance of this contract shall start after all approvals have been obtained and the contract is fully executed. The contract is considered fully executed upon approval by DGS, Office of Legal Services. Should the Contractor fail to commence work at the agreed upon time, the awarding agency, upon five (5) calendar days written notice to the Contractor, reserves the right to terminate the contract. In addition, the Contractor shall be liable to the State for the difference between Contractor’s proposed price and the actual cost of acquiring services from another contractor. B. The MSA will establish a list of qualified Contractors, which shall be ranked based on a low cost. State and local governmental entities shall request services from the list of awarded Contractors based on lowest cost or through a Request for Offer (RFO) as further detailed in the Proposed Form of Agreement, Exhibit A, (Attachment 13). C. A User Guide will be prepared and administered by the DGS Contract Administrator assigned to this MSA. All Requesting Agencies must refer to the User Guide before utilizing the Ranked or RFO Contractor selection process.
