Common use of Continuing Assignment Clause in Contracts

Continuing Assignment. This Agreement shall create a continuing assignment of, Lien on and security interest in each and all of the Collateral and shall (a) remain in full force and effect until the Termination Date; (b) be binding upon Pledgor, its successors and permitted assigns, as applicable, and (c) inure to the benefit of Pledgee and its successors, transferees and assigns. Pledgor may not assign or transfer any or all of its rights and obligations hereunder without the express written consent of Pledgee.
