Continued Indemnity. The indemnity and hold harmless provisions of Article Twelve shall survive the termination of an interest in the Development of any Owner or Transferee and shall continue to be a personal obligation of such party, notwithstanding the termination of this Regulatory Agreement or a Transfer or assignment of any interest in the Development of such Owner or Transferee.
Continued Indemnity. After the retiring or removed Collateral Agent's resignation, the provisions of this Article and the indemnity provisions of this Agreement and other Loan Documents shall continue in effect for the benefit of such retiring or removed Collateral Agent, its sub-agents, and their respective employees and agents respecting any actions taken or omitted to be taken by any of them while the retiring or removed Collateral Agent was acting as Collateral Agent.
