Common use of Continuation of Indemnity Clause in Contracts

Continuation of Indemnity. All agreements and obligations of the Company hereunder shall continue during the period Indemnitee is an Authorized Representative, and shall continue after Indemnitee has ceased to occupy such position or have such relationship so long as Indemnitee shall be subject to any possible Proceeding.

Continuation of Indemnity. All agreements and obligations of the Company hereunder contained in this Agreement shall continue during the period Indemnitee is an Authorized Representativea Covered Person, and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter for so long as Indemnitee shall be subject to any possible Proceedingclaim or threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that Indemnitee was a Covered Person.

All agreements and obligations of the Company hereunder contained herein shall continue during the period that the Indemnitee is an Authorized Representativeserving as a director or officer of the Company, and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter so long as the Indemnitee shall be subject to any possible Proceeding, by reason of the fact that the Indemnitee was a director or officer of the Company or serving in any other capacity referred to herein.

All agreements and obligations of the Company hereunder contained in this Agreement shall continue during the period Indemnitee is an Authorized Representative, a Director or Officer and shall continue after thereafter, even though Indemnitee has ceased to occupy such position may have terminated his service as a Director or have such relationship Officer of the Company, so long as Indemnitee shall be subject to any possible Proceedingthreatened, pending or completed Proceeding by reason of Indemnitee’s Corporate Status.

All agreements and obligations of the Company hereunder contained herein shall continue during the period the Indemnitee is an Authorized Representative, officer of the Company or any Related Company and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter so long as the Indemnitee shall be subject to any possible ProceedingAction by reason of the fact that the Indemnitee was an officer of the Company or was serving in any other capacity referred to herein.

All The agreements and obligations of the Company hereunder and the Indemnitee under this Agreement shall continue during the period in which the Indemnitee is an Authorized Representative, has Corporate Status and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter so long as the Indemnitee shall be subject to any possible Proceedingclaim or threatened, pending or completed Proceeding by reason of the fact that the Indemnitee had Corporate Status of the Enterprise or serving in any other capacity referred to herein.

Continuation of Indemnity. All agreements and obligations of the Company hereunder contained in this Agreement shall continue during the period the Indemnitee is an Authorized Representative, serves in any capacity entitling Indemnity to indemnification under this Agreement and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter so long as Indemnitee shall be subject to any possible Proceedingclaim or threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative, legislative or investigative, or other, arising as a result of acts or omissions occurring during the period Indemnitee served as a director and/or officer, as applicable, of the Company.

Continuation of Indemnity. All agreements and obligations of the Company hereunder contained in the Agreement shall continue during the period the Indemnitee is an Authorized Representative, holds a Qualified Position and shall continue after Indemnitee has ceased to occupy such position or have such relationship thereafter so long as Indemnitee shall may be subject to any possible ProceedingProceeding by reason of the fact that Indemnitee held a Qualified Position.
