CONTINGENT ASSIGNMENT OF SUBCONTRACTS. § 5.4.1 Each subcontract agreement for a portion of the Work is assigned by the Contractor to the Owner, provided that .1 assignment is effective only after termination of the Contract by the Owner for cause pursuant to Section 14.2 and only for those subcontract agreements that the Owner accepts by notifying the Subcontractor and Contractor; and

CONTINGENT ASSIGNMENT OF SUBCONTRACTS. In the event of any suspension or termination of the Construction Contract, Contractor is hereby deemed to have offered to assign to City all its interest in contracts with Subcontractors now or hereafter entered into by Contractor for performance of any part of the Work. The assignment will be effective upon acceptance by City in writing and only as to those contracts which City designates in writing. City may accept, at its sole election, said assignment at any time during the course of the Work and prior to Final Completion in the event of a suspension or termination of Contractor's rights under the Contract Documents. Such assignment is part of the consideration to City for entering into the Contract with Contractor and may not be withdrawn prior to Final Completion.

CONTINGENT ASSIGNMENT OF SUBCONTRACTS. In the event of a termination of this Contract by the Owner under Article 14, the Prime Contractor shall, if requested in writing by the Owner, within fifteen (15) days after the date notice of termination is sent, deliver and assign to Owner, or any person or entity acting on the Owner's behalf, any or all subcontracts made by Prime Contractor in the performance of the Work, and deliver to the Owner true and correct originals and copies of the subcontract documents. In the event assignment is not requested by the Owner, Prime Contractor shall terminate all subcontracts to the extent that Owner has not directed assignment of same and to the extent that they relate to the performance of Work terminated by the notice of termination.

CONTINGENT ASSIGNMENT OF SUBCONTRACTS. Each subcontract and supply agreement for a portion of the Work covered by this Agreement are assigned by the Developer to the Owner, provided such assignment shall be effective if, and only if, the Agreement is terminated pursuant to Section 9.2, and then only with respect to those subcontract and supply agreements which the Owner accepts by notifying the subcontractor in writing. The Owner’s election to accept such an assignment shall not relieve the Developer of any liability to the subcontractor or supplier incurred prior to the date of the assignment, and the Owner shall not be responsible for any such pre-assignment liability.
CONTINGENT ASSIGNMENT OF SUBCONTRACTS. 5.4.1 If this Agreement is terminated, each subcontract and supply agreement shall be assigned by the Construction Manager to the Owner, subject to the prior rights of any surety, provided that: (a) this Agreement is terminated by the Owner pursuant to Sections 12.3 or 12.4; and (b) the Owner accepts such assignment after termination by notifying the Subcontractor and Construction Manager in writing, and assumes all rights and obligations of the Construction Manager pursuant to each subcontract agreement. The Owner does not assume responsibility for any of Contractor’s obligations existing prior to the date of assumption unless expressly agreed to in writing.
CONTINGENT ASSIGNMENT OF SUBCONTRACTS. 4.11.1 The CM hereby assigns its agreement with each Subcontractor to the Contracting Authority provided that the assignment is effective only after termination of the Contract in whole or in part by the Contracting Authority and only for those agreements that the Contracting Authority accepts by notifying the CM and applicable Subcontractors in writing. The Contracting Authority may re-assign accepted agreements.
