Contact with Customers, Suppliers and Other Business Relations. During the period from the date of this Agreement until the earlier of the Closing Date or the termination of this Agreement in accordance with its terms, the Buyer hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, Representatives or Affiliates to) contact any employee, client or other material business relation of any Target Entity regarding any Target Entity, its business or the transactions contemplated by this Agreement without the prior written consent of the Companies.

During the period from the date of this Agreement until the earlier of the Closing Date or the termination of this Agreement in accordance with its terms, the Buyer hereby agrees that it is not authorized to to, and shall not (and shall not permit any of its employees, agents, Representatives representatives or Affiliates to) ), contact any employeeemployee (excluding executive officers), client client, customer, supplier, distributor or other material business relation of any Target Entity Group Company regarding any Target EntityGroup Company, its business or the transactions contemplated by this Agreement without the prior written consent of the CompaniesCompany (which such consent shall not be unreasonably withheld, delayed or conditioned).
