Common use of Contact with Customers and Suppliers Clause in Contracts

Contact with Customers and Suppliers. Buyer hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any employee, supplier, distributor, customer or other material business relation of Company or Sub prior to the Closing without the prior written consent of Company, such consent not to be unreasonably withheld, conditioned, or delayed.

Buyer hereby agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates to) contact any officer, director, employee, franchisee, customer, supplier, distributor, customer vendor or other material business relation of the Company or Sub prior to the Closing without the prior written consent of Company, such consent Seller which shall not to be unreasonably withheld; provided that any employee, conditionedagent, representative or delayedAffiliate of Buyer may contact any such person for the purpose of performing or otherwise fulfilling its obligations to Seller or the Company.

Buyer hereby Purchaser acknowledges and agrees that it is not authorized to and shall not (and shall not permit any of its employees, agents, representatives or Affiliates affiliates to) contact any employee, customer, supplier, distributor, customer distributor or other material business relation of the Company or Sub with respect to the transactions contemplated by this Agreement prior to the Closing without the prior written consent of the Company. Without limiting the foregoing, any such consent not to contact by Purchaser shall be unreasonably withheld, conditioned, or delayedaccompanied by a representative of the Company.
