Common use of Consummation of the Transaction Clause in Contracts

Consummation of the Transaction. (a) On or prior to the Effective Date, the Recapitalization shall have been consummated in accordance with the Recapitalization Documents and all applicable laws, and each of the conditions precedent to the consummation of the Recapitalization as set forth in the Recapitalization Documents shall have been satisfied and not waived except with the consent of the Agent and the Required Banks to the reasonable satisfaction of the Agent and the Required Banks.
