Common use of Consultant Clause in Contracts

Consultant. Consultant agrees to indemnify, defend, and shall hold harmless Client, its directors, employees and agents, and defend any action brought against same with respect to any claim, demand, cause of action, debt or liability, including reasonable attorneys' fees, to the extent that such an action arises out of the gross negligence or willful misconduct of Consultant.

Consultant agrees to indemnify, defend, and shall hold harmless ClientCompany, its directors, employees and agents, and defend any action brought against same with respect to any claim, demand, cause of action, debt or liability, including reasonable attorneys' legal’ fees, to the extent that such an action arises out of the gross negligence or willful wilful misconduct of Consultant.

Consultant. Consultant agrees to indemnify, defend, and shall hold harmless ClientCompany, its directors, employees emp1oyees and agents, and defend any action brought against same with respect to any claim, demand, cause of action, debt or liability, including reasonable attorneys' fees, to the extent that such an action arises out of the gross negligence or willful misconduct of Consultant.

It is understood that such an action arises out the intent of this provision is to absolve and protect the Company from any loss, liability, damage and expense directly caused by or connected with the work and/or actions of the gross negligence or willful misconduct Consultant hereunder without fault of Consultantthe Company.
