Common use of Consultant Access Clause in Contracts

Consultant Access. Customer shall submit to Contractor the individual name(s) and citizenship information pertaining to any proposed representatives or Consultants who require access to any premises and/or any Contractor or Subcontractor proprietary information, and Contractor shall have the right to approve such access for such representatives or Consultants. Contractor shall approve or disapprove of any such individual name(s) submitted by Customer for such access within five (5) Business Days of Customer’s submission except in the case of submissions made during Contractor’s end-of year Holiday shutdown, in which case Contractor shall provide such approval or disapproval within ten (10) Business Days. Such approval shall not be withheld by Contractor unless (i) Contractor reasonably believes such representative or Consultant is employed by, or is an Affiliate of a direct competitor of Contractor, or (ii) Contractor has knowledge of incidents in which such representative or Consultant demonstrated behavior or activity that, in Contractor’s reasonable judgment, is incompatible with Contractor’s ability to achieve the objectives of this Contract.
