Construction of the Agreement; Fund Participation Agreement. The Intermediary and the Fund have entered into a Fund Participation Agreement between them for the purchase and redemption of shares of the Fund by separate accounts maintained by the Intermediary in connection with the Contracts. This Agreement supplements the Fund Participation Agreement. To the extent the terms of this Agreement conflict with the terms of the Fund Participation Agreement, the terms of this Agreement shall control.
