Constitution. The constitution of each Company Group Member to be delivered to the Purchaser at Settlement and signed by a director for the purpose of identification is the present constitution of the relevant Company Group Member and is accurate and complete in all respects. All resolutions affecting the constitution have been given to the Purchaser.
