Conservation Program. Upon the request of the Reinsurer, the Cedant shall reasonably cooperate and discuss in good faith the development and implementation of a conservation program with respect to the Subject Annuities. All costs, expenses and fees associated with any such conservation program shall be borne by the Reinsurer.
