Consequential amendments. For the avoidance of doubt: clause 25.6.1. of the General Conditions is deemed to be read as including the following words after the end of the clause “(and, if the cause of the delay is a Latent Condition, has also complied with the notice requirements of special condition 1.1)”; and references to a “Principal Initiated Variation Order” in clauses 2.6A, 23.3, 29.1.1. and 41.1. of the General Conditions shall be deemed to be read as “Principal Initiated Variation Order or Contractor Initiated Variation Order”. CONTRACT CONDITIONAL ON OWNERSHIP OF SITE [*Delete this entire clause and items 4 and 5 of the Reference Schedule if not applicable ] The Contract is subject to and conditional upon the Principal becoming the registered proprietor of the Site pursuant to the Land Sale Contract (as specified in item 4 of the Reference Schedule) on or before the Latest Date (as specified in item 5 of the Reference Schedule). For the avoidance of doubt, and notwithstanding anything to the contrary in the Contract, the Contractor is not entitled to any progress payment until such point that the Principal becomes the registered proprietor of the Site. If the Principal has not become the registered proprietor of the Site on or before the Latest Date, or the Land Sale Contract is terminated for any reason whatsoever prior to the Latest Date, the Principal may terminate the Contract immediately by notice in writing to the Contractor, and the Contractor must refund to the Principal any amounts which have been paid by the Principal to the Contractor under the Contract in full and without any deduction.
