Consent to Term Amendment and Intercreditor Amendment Clause Samples

Consent to Term Amendment and Intercreditor Amendment. (a) Pursuant to Section 5.3(a) of the Intercreditor Agreement, the Lenders party hereto hereby consent to (i) an amendment to the Term Credit Agreement (as defined in the Intercreditor Agreement) in substantially the form of Exhibit B and (ii) any amendments to the other Term Loan Documents (as defined in the Intercreditor Agreement) executed in connection therewith; and (b) The Lenders party hereto hereby consent to the execution of an amendment to the Intercreditor Agreement in substantially the form of Exhibit C (the “Intercreditor Amendment”) and hereby authorize and instruct (i) the Administrative Agent to execute the Intercreditor Amendment in its capacity as ABL Administrative Agent thereunder and (ii) the Collateral Agent to execute the Intercreditor Amendment in its capacity as ABL Collateral Agent thereunder.
