Common use of Consent to License of Intellectual Property Clause in Contracts

Consent to License of Intellectual Property. (a) The Term Agent, for itself and on behalf of the other Term Secured Parties, (i) acknowledges and consents to the grant to the ABL Agent by the Grantors of a limited, nonexclusive royalty-free license pursuant to the ABL Security Agreement (an “Intellectual Property License”) and (ii) agrees that the Term Liens on the Intellectual Property constituting Collateral shall be subject to the Intellectual Property License.

(a) The Each Term Agent, for itself and on behalf of the its other Term Related Secured Parties, (i) acknowledges and consents to the grant to the ABL Agent by the Grantors of a limited, nonexclusive royalty-free license pursuant to the ABL Security Agreement (an “Intellectual Property License”) and (ii) agrees that the Term Liens on the Intellectual Property constituting Collateral shall be subject to the Intellectual Property License.

(a) The Each Term Agent, for itself and on behalf of the its other Term Related Secured Parties, (i) acknowledges and consents to the grant to the ABL Agent by the Grantors of a limited, nonexclusive royalty-free license relating to any Intellectual Property pursuant to the ABL Security Agreement (an “Intellectual Property License”) and (ii) agrees that the Term Liens on the Intellectual Property constituting Collateral shall be subject to the Intellectual Property License.

Consent to License of Intellectual Property. (a) The Term Note Collateral Agent, for itself and on behalf of the other Term its Related Secured Parties, (i) acknowledges and consents to the grant to the ABL Revolving Collateral Agent by the Grantors of a limited, nonexclusive non-exclusive royalty-free license pursuant to in the ABL Security Agreement form of Exhibit C hereto (an “Intellectual Property License”) and (ii) agrees that the Term Non-ABL Liens on the Intellectual Property constituting Collateral shall be subject to the Intellectual Property License.
