Common use of Consent Fee Clause in Contracts

Consent Fee. The Administrative Agent shall have received, for the ratable account of each Consenting Lender that has executed and delivered a counterpart hereof to the Administrative Agent on or prior to 3:00 p.m. Eastern Time on August 13, 2018 (the “Deadline”), a fee equal to 0.04% of such Lender’s undrawn Commitment and amount of outstanding Loans on the Amendment No. 1 Effective Date (such fees, the “Consent Fees”). The Consent Fees shall be payable in U.S. dollars in immediately available funds as directed by the Administrative Agent. Once paid, no Consent Fees shall be refundable under any circumstances. For the avoidance of doubt, no Consent Fee shall be payable to any Lender that does not consent to this Agreement prior to the Deadline.

Consent Fee. The Administrative Agent shall have received, for the ratable account of each Consenting Lender Bank that has executed and delivered a counterpart hereof to the Administrative Agent on or prior to 3:00 12:00 p.m. Eastern Time on August 13May 6, 2018 2020 (the “Deadline”), a fee equal to 0.040.050% of such LenderBank’s undrawn Commitment and amount of outstanding Loans Advances on the Sixth Amendment No. 1 Effective Date (such feesfee, the “Consent FeesFee”). The Consent Fees Fee shall be payable in U.S. dollars in immediately available funds as directed by the Administrative Agent. Once paid, no the Consent Fees Fee shall not be refundable under any circumstances. For the avoidance of doubt, no the Consent Fee shall not be payable to any Lender Bank that does not consent to this Agreement Amendment prior to the Deadline.

The Consent Fees shall be payable in U.S. dollars in immediately available funds as directed by the Administrative Agent. Once paid, no Consent Fees shall be refundable under any circumstances. The Consent Fees shall be payable in U.S. dollars in immediately available funds as directed by the Administrative Agent. Once paid, no Consent Fees shall be refundable under any circumstances. For the avoidance of doubt, no Consent Fee shall be payable to any Lender that does not consent to this Agreement prior to the Deadline.

Consent Fee. The Administrative Agent shall have received, for the ratable account of each Consenting Lender Bank that has executed and delivered a counterpart hereof to the Administrative Agent on or prior to 3:00 5:00 p.m. Eastern Time on August 13April 27, 2018 (the “Deadline”), a fee equal to 0.040.125% of such LenderBank’s undrawn Commitment and amount of outstanding Loans Advances on the Third Amendment No. 1 Effective Date (such fees, the “Consent Fees”). The Consent Fees shall be payable in U.S. dollars in immediately available funds as directed by the Administrative Agent. Once paid, no Consent Fees shall be refundable under any circumstances. For the avoidance of doubt, no Consent Fee shall be payable to any Lender Bank that does not consent to this Agreement Amendment prior to the Deadline.
