Consent Documents Clause Samples

Consent Documents. Buyer shall have received duly executed and delivered Consent Documents, in form and substance satisfactory to Buyer, from at least 400375 Existing Members and no fewer than 225 of such Existing Members shall have elected to join either the Gold, Platinum or CIEL Travel Plan offering of Buyer, and such Consent Documents shall be in full force and effect.

Consent Documents. The Exchanging Holders and the Purchasers shall have received duly executed copies of the Consent Documents, in form and substance satisfactory to the Exchanging Holders and the Purchasers, and the Supplemental Indenture, in form and substance acceptable to the Exchanging Holders and the Purchasers, shall have been entered into and be in full force and effect and operative.

Consent Documents. The duly executed originals, or certified copies, of all consents, approvals, authorizations, registrations and filings and orders required or advisable to be made or obtained under any law in connection with the execution, delivery, performance, validity and enforceability of the Loan Documents, and such consents, approvals, authorizations, registrations, filings and orders shall be in full force and effect and all applicable waiting periods shall have expired; Certificates of Existence and Good Standing of Borrower issued by the Secretary of State of the State of Delaware and the Secretary of State of the State of Kentucky. Receipt of officer’s certificate stating the representations and warranties are true and correct in all material respects.

Consent Documents. The Administrative Agent shall have received a duly executed counterpart of this Consent from the Administrative Agent, each Credit Party and the Required Lenders; and
