Connected Person Sample Clauses

Connected Person. “Connected Person” means, in relation to a person, an undertaking which is a Group Undertaking of that person or any director, employee, professional adviser, agent or employee of that person or of any such Group Undertaking.

Connected Person. The Client further represents and warrants to GTJAF that the Client is not or is not deemed to be a Connected Person of the company(ies) that underlie the Derivatives which any sale or purchase are effected by GTJAF pursuant to the Client’s Instruction unless the Client specifically notifies GTJAF to the contrary prior to the placing of such orders or Instructions.

Connected Person. The Client further represents and warrants to USL that the Client is not a Connected Person of the company(ies) and/or the Securities, of which the Client shall place orders or Instructions with USL for the purchase or disposal of or otherwise deal in such company(ies) Securities unless the Client specifically notifies USL to the contrary prior to the placing of such orders or Instructions.

Connected Person. Well Harvest Winning is a non-wholly owned subsidiary of the Company and it is held as to 30% by Cita Mineral Investindo. As the relevant percentage ratios (as defined under Rule 14A.09 of the Listing Rules) in respect of Well Harvest Winning exceeded 10% for the year ended 31 December 2018, Well Harvest Winning ceased to be an insignificant subsidiary of the Company under Rule 14A.09 of the Listing Rules and therefore Cita Mineral Investindo could not meet the conditions for the exemption under Rule 14A.09 of the Listing Rules and became a connected person of the Company under the Listing Rules.

Connected Person. (a) All Contracts / transactions between or inter alia between the Company and/or any Group Company and any Connected Person / Concern including investments and loans shall be entered into on arms’ length basis, on commercial terms that are consistent with the market practice and in the Ordinary Course of Business. Any Contract / transaction shall remain subject to the other rights of the Investor hereunder including the Investor Reserved Matters as set out in Clause 12. (b) The Promoter hereby agrees to inform the Investor from time to time of any new entities which may be incorporated or acquired by them.

Connected Person any person associated (either directly and/or indirectly with the Introducing Broker) including any member of the Introducing Broker’s family, any legal person (of any form or manner) whether incorporated or not, whether directly or indirectly controlled, controlling or under common control with the Introducing Broker. If any such person has been registered by the Introducing Broker under the Agreement, the Introducing Broker agrees and accepts that the Introducing Broker shall not be eligible to receive any Payment.

Connected Person. Arise Operating is a subsidiary of Alibaba, a controlling shareholder of the Successor Company upon completion of the De-SPAC Transaction, and hence a connected person of the Successor Company under Rule 14A.13(1) of the Listing Rules upon the completion of the De-SPAC Transaction. As such, the transactions contemplated under the Miravia E-commerce Services Framework Agreement shall constitute connected transactions of the Successor Company.

Antar Sarana Rekasa is owned as to 34% by Lima Srikandi Jaya which is a subsidiary of Harita Jayaraya. As the relevant percentage ratios (as defined under Rule 14A.09 of the Listing Rules) in respect of Well Harvest Winning exceeded 10% for the year ended 31 December 2018, Well Harvest Winning ceased to be an insignificant subsidiary of the Company under Rule 14A.09 of the Listing Rules and therefore ▇▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇▇ could not meet the conditions for the exemption under Rule 14A.09 of the Listing Rules and became a connected person of the Company under the Listing Rules.

Connected Person. China Shipping is the controlling shareholder of the Company and therefore is a connected person (as defined in the Listing Rules) of the Company under the Listing Rules.
