Common use of Confirmation of Representations Clause in Contracts

Confirmation of Representations. On Lender's request, Borrower shall deliver, (a) one (1) or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the request, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower and Guarantor as of the date of the request.

Confirmation of Representations. On Lender's request, Borrower shall deliver, (a) in connection with any Securitization, one (1) or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the request, and (b) certificates closing of the relevant Governmental Authorities such Securitization in all relevant jurisdictions indicating the good standing and qualification of Borrower and Guarantor as of the date of the request(subject to any matters set forth on an updated Schedule VII that will also be provided at such time).

On Lender's request, Borrower shall deliver, upon the request of Xxxxxx, (a) one (1) or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the requestDocuments, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower and Guarantor as of the date of the requestBorrower.
