Common use of Confidentiality of Nonpublic Personal Information Clause in Contracts

Confidentiality of Nonpublic Personal Information. In the course of its performance under this Agreement and other agreements with Supplier, MBFS may disclose to Supplier information that meets the definition of “nonpublic personal information” (“Nonpublic Personal Information”) in the regulations promulgated under Title V of the Xxxxx-Xxxxx-Xxxxxx Act of 1999 as amended from time to time, 15 U.S.C. 6801 to 6809 (“GLB Act Privacy Regulations”). Supplier shall not use or disclose such Nonpublic Personal Information to any nonaffiliated third party other than to carry out the purpose or purposes for which MBFS disclosed such information to Supplier, including use under an exception in the GLB Act Privacy Regulations in the ordinary course of business to carry out the purpose or purposes for which the Nonpublic Personal Information was disclosed to Supplier. Supplier agrees that any affiliate of Supplier shall use and disclose Nonpublic Personal Information to any nonaffiliated third party only to the extent that Supplier may use and disclose such information. If MBFS discloses Nonpublic Personal Information to Supplier in connection with joint marketing, Supplier shall not use and disclose such Nonpublic Personal Information other than to carry out the purpose or purposes for which MBFS disclosed such Nonpublic Personal Information to Supplier, including use under an exception in the GLB Act Privacy Regulations in the ordinary course of business to carry out the purpose or purposes for which the Nonpublic Personal Information was disclosed to Supplier. 1.2
