Common use of Confidentiality and Intellectual Property Clause in Contracts

Confidentiality and Intellectual Property. Strad Equipment and related documentation contain technology and information protected by patents and applications for patents, copyright and intellectual property law, and utilize proprietary information, trade secrets, concepts, know- how, manufacturing techniques and confidential information (collectively “Proprietary Information”). In connection with the rental of Equipment to Lessee, Strad may provide Proprietary Information about the Equipment to the Lessee. Lessee is strictly prohibited from, and agrees that it will not, nor cause a third party, to take any action that is intended to discover the Proprietary Information, including, but not limited to, reverse engineering, taking detailed photographs and/or disassembling the Equipment, or using the Proprietary Information in any other manner detrimental to Strad or its licensors including, but not limited to, manufacturing similar goods and/or parts. Except as required by law, Lessee shall not use (except for purposes connected with the performance of its obligations hereunder), divulge or communicate to any third party any Proprietary Information. Strad shall be entitled to injunctive relief for any violation of this Section.

In connection with the rental sale of Equipment the Goods to LesseePurchaser, Strad may provide Proprietary Information about the Equipment goods to the LesseePurchaser. Lessee Purchaser is strictly prohibited from, and agrees that it will not, nor cause a third party, to take any action that is intended to discover the Proprietary Information, including, but not limited to, reverse engineering, taking detailed photographs and/or disassembling the EquipmentGoods, or using the Proprietary Information in any other manner detrimental to Strad or its licensors including, but not limited to, manufacturing similar goods and/or parts. Except as required by law, Lessee Purchaser shall not use (except for purposes connected with the performance of its obligations hereunder), divulge or communicate to any third party any Proprietary Information. In connection with the rental of Equipment Product to Lessee, Strad Sentient may provide Proprietary Information about the Equipment Product to the Lessee. Lessee is strictly prohibited from, and agrees that it will not, nor cause a third party, to take any action that is intended to discover the Proprietary Information, including, but not limited to, reverse engineering, taking detailed photographs and/or disassembling the EquipmentProduct, or using the Proprietary Information in any other manner detrimental to Strad Sentient or its licensors including, but not limited to, manufacturing similar goods and/or parts. Except as required by law, Lessee shall not use (except for purposes connected with the performance of its obligations hereunder), divulge or communicate to any third party any Proprietary Information. Strad shall be entitled Lessee hereby agrees that it will not, independently or in association with any third party, create any device that competes with or functions similarly to injunctive relief for any violation of this Sectionthe Product.
