Common use of Conduct of Business of Company Clause in Contracts

Conduct of Business of Company. Except as expressly provided for herein or in Section 4.1 of the Disclosure Schedule, during the period from the date of this Agreement to the earlier of the termination of this Agreement or the Effective Time, Company shall, and shall cause each of its Subsidiaries to, act and carry on its business only in the ordinary course of business consistent with past practice and, to the extent consistent therewith, use all reasonable efforts to preserve intact its current business organizations, keep available the services of its current key officers and employees and preserve the goodwill of those engaged in material business relationships with Company. To that end, without limiting the generality of the foregoing, Company shall not, and shall not permit any of its Subsidiaries to, without the prior consent of Parent:
