CONDITIONS TO THE OBLIGATIONS OF THE XXXXXX PARTIES. The obligation of the Xxxxxx Parties to consummate the transactions contemplated hereunder shall be subject to the satisfaction or waiver by the Xxxxxx Parties of each of the conditions set forth below on or before the Closing Date. The Xxxxxx Parties agree that Xxxx X. Xxxxxx may waive (on behalf of all Xxxxxx Parties) any condition specified in this Section 2.2 if he executes a writing so stating at or prior to the Closing or such condition will be waived if the Xxxxxx Parties elect to close notwithstanding non-fulfillment.
