CONDITIONS TO THE OBLIGATIONS OF KAV. The obligations of KAV to effect the transactions contemplated hereby shall be subject to the fulfillment at or prior to the Closing Date of the following conditions, any or all of which may be waived in whole or in part in writing by KAV:
