Conditions to the Obligations of each Purchaser at Closing. The obligation of each Purchaser to purchase and pay for the Shares subscribed for by such Purchaser at the applicable Closing is subject to the satisfaction on or prior to the Initial Closing or the applicable Subsequent Closing Date, as the case may be, of the following conditions, each of which may be waived by the applicable Purchaser:
