Conditions to Purchasers’ Obligations at the Closing. The obligation of each Purchaser to purchase the relevant number of the Purchased Shares set forth in Section 2.2 at the Closing is subject to the fulfillment to the reasonable satisfaction of such Purchaser, or otherwise waived by such Purchaser, on or prior to the Closing, of the following conditions:
