Conditions to Obligations of Parent, Purchaser and Seller. The obligations of Parent, Purchaser and Seller to consummate the Closing are subject to the satisfaction of the following conditions: (i) the Majority Block Purchase Closing shall occur simultaneously with the Closing hereunder and (ii) the Parent Shares to be issued to Seller hereunder shall been approved for listing on the New York Stock Exchange, subject to official notice of issuance.
