Conditions to Obligation of the Initial Sellers to Effect the Closing. The obligations of the Initial Sellers to consummate the Initial Closing shall be subject to the satisfaction on or prior to the Initial Closing Date of each of the following conditions. The following conditions are for the sole benefit of the Initial Sellers, may be waived by the Initial Sellers, in whole or in part, at any time and from time to time in the sole discretion of the Initial Sellers. The failure by the Initial Sellers at any time to exercise any of the following rights shall not be deemed a waiver of any such right and each such right shall be deemed an ongoing right which may be asserted at any time and from time to time.
