CONDITIONS TO CLOSING BY BUYER AND HOLDINGS. The obligations of Buyer and Holdings to close the transactions contemplated by this Agreement shall be subject to the satisfaction of the following conditions. Upon Closing, each of Buyer and Holdings shall be deemed to have waived any unsatisfied conditions; provided, however, the waiver of any such conditions shall not be deemed to waive or impair any rights Buyer or Holdings may have with respect to the representations and warranties made by the Sellers.
