UCC Lien Search. Bank shall have received UCC record and copy searches, evidencing the appropriate filing and recording of the Financing Statements and disclosing no notice of any liens or encumbrances filed against any of the Collateral other than the Financing Statements or the Permitted Liens.
UCC Lien Search. Bank shall have received UCC, tax lien and judgment lien record and copy searches disclosing no notice of any Liens or encumbrances filed against any of the Collateral, other than the Permitted Encumbrances.
UCC Lien Search. Within the Inspection Period, Buyer may obtain at its expense: (i) a UCC-11 search of any and all liens filed against or with respect to the Property with the Office of the Alabama Secretary of State/Alabama Secured Transactions Registry, and (ii) a search of judgment and tax liens against Seller filed with the Office of the Alabama Secretary of State (collectively, the “Lien Searches”). Any liens disclosed by the Lien Searches shall be satisfied by Seller at or prior to Closing.
UCC Lien Search. The Buyer shall have received a satisfactory UCC lien search on the Company from the office of the Secretary of State of the Company's state of incorporation and each state listed in Schedule 3.01, and from the appropriate office in each county in which the Company has business operations. Such lien searches will be conducted by an entity or individual acceptable to the Buyer at the Buyer's sole expense and the Company shall have released any and all such liens requested by Buyer.
UCC Lien Search. UCC record and copy searches disclosing no notice of any Liens and Encumbrances filed against any of the Collateral except Permitted Liens.
UCC Lien Search. The Collateral Agent shall have received and made available to the Lenders, UCC search reports listing all effective financing statements which name the Loan Parties, as debtor, together with copies of such financing statements, none of which shall cover any of the Collateral, unless in favor of the Collateral Agent.
UCC Lien Search. The Seasoned Warehouse Agent shall have received UCC record and copy searches, evidencing the appropriate filing and recording of Texas Commerce's existing Financing Statements in all of the Seasoned Warehouse Collateral and their assignment to the Seasoned Warehouse Agent, as agent and Representative of the Seasoned Warehouse Lenders under this Agreement, and disclosing no notice of any liens or encumbrances filed against any of the Collateral other than those assigned Financing Statements or the other Permitted Liens.
UCC Lien Search. Agent shall have received UCC, tax lien and judgment lien record and copy searches, disclosing no notice of any Liens or encumbrances filed against any of the Collateral, other than the Permitted Encumbrances.
UCC Lien Search. PFC shall have received a satisfactory UCC lien search on the Company from the office of the Secretary of State of the Company’s state of incorporation and each state listed in Schedule 5(a), and from the appropriate office in each county in which the Company has business operations. Such lien searches will be conducted by an entity or individual acceptable to PFC at the Members’ sole expense.
UCC Lien Search. SELLER shall bear the cost of a UCC lien search under the name of SELLER, Dxxxxxx Xxxx, Dxxxxx Xxxx, and any assumed names used by SELLER, at both the Tazewell County Recorder of Deed’s Office and the Illinois Secretary of State and shall provide the same to BUYER promptly after the Agreement Date and in any event at least five (5) days prior to the expiration of the Due Diligence Period. No less than two (2) days prior to closing, SELLER shall provide to BUYER either (1) a Release of any liens disclosed by the UCC searches or (2) a payoff statement from the lienholders in form and content acceptable to BUYER showing an amount owed that is less than the purchase price along with a covenant from SELLER that said amount shall be paid to the lienholder at Closing. If SELLER is unable to timely provide such Release or pay-off and covenant, BUYER may terminate this Agreement and all exxxxxx money shall be returned to BUYER.
