UCC Lien Search. Within the Inspection Period, Buyer may obtain at its expense: (i) a UCC-11 search of any and all liens filed against or with respect to the Property with the Office of the Alabama Secretary of State/Alabama Secured Transactions Registry, and (ii) a search of judgment and tax liens against Seller filed with the Office of the Alabama Secretary of State (collectively, the “Lien Searches”). Any liens disclosed by the Lien Searches shall be satisfied by Seller at or prior to Closing.

Such lien searches will be conducted by an entity or individual acceptable to PFC at the Memberssole expense.
UCC Lien Search. SELLER shall bear the cost of a UCC lien search under the name of SELLER, Dxxxxxx Xxxx, Dxxxxx Xxxx, and any assumed names used by SELLER, at both the Tazewell County Recorder of Deed’s Office and the Illinois Secretary of State and shall provide the same to BUYER promptly after the Agreement Date and in any event at least five (5) days prior to the expiration of the Due Diligence Period. No less than two (2) days prior to closing, SELLER shall provide to BUYER either (1) a Release of any liens disclosed by the UCC searches or (2) a payoff statement from the lienholders in form and content acceptable to BUYER showing an amount owed that is less than the purchase price along with a covenant from SELLER that said amount shall be paid to the lienholder at Closing. If SELLER is unable to timely provide such Release or pay-off and covenant, BUYER may terminate this Agreement and all exxxxxx money shall be returned to BUYER.
