Conditions Satisfied. The acceptance of the benefits of (i) the Credit Events on the Closing Date shall constitute a representation and warranty by the Applicable Borrower to the Administrative Agent, each LC Issuer and each of the Lenders that all of the applicable conditions specified in Section 4.01 have been satisfied as of the times referred to in such Section and (ii) subject to the terms and conditions of Sections 2.17, 2.18, 2.19, 2.20 and 2.21 and any Limited Condition Acquisition, each Credit Event thereafter shall constitute a representation and warranty by the Applicable Borrower to the Administrative Agent, each LC Issuer and each of the Lenders that all of the applicable conditions specified in Section 4.02 have been satisfied as of the times referred to in such Section.
