Common use of Conditions Satisfied Clause in Contracts

Conditions Satisfied. The Company shall have delivered to the Administrative Agent an Officer’s Certificate, dated as of the applicable Term Loan Issuance Date, in form and substance satisfactory to the Administrative Agent, certifying that all conditions precedent set forth in Sections 4.02 and 4.03 have been satisfied on and as of the applicable Term Loan Issuance Date. Each Request for Term Loans submitted by the Co-Obligors’ Agent or any Co-Obligor shall be deemed to be a representation and warranty that the conditions specified in Sections 4.02 and Section 4.03 have been satisfied on and as of the date of the applicable Term Loan Issuance Date.
