Conditions Precedent to the Merger of Shares. The Parties’ obligation to comply with their obligations in the Merger of Shares is subject to the satisfaction of the following conditions precedent before the Date of Merger (except for those which shall be satisfied on the Date of Merger), which may be waived, in writing, by each of the Parties, at its sole discretion (it being understood that no waiver shall hinder the indemnity right set forth in this Agreement):
