Conditions Precedent to the Effectiveness of the Agreement. The effectiveness of the provisions of this Agreement (other than the provisions of Section 5.2) and the obligation of the Lenders to restructure the Original Loans under this Agreement into the Term Loans as contemplated hereby shall be subject to the fulfillment, at or prior to the time thereof, of each of the following conditions:
