Conditions Precedent to Obligations of the Backstop Parties. The obligations of the Backstop Parties to subscribe for and purchase Units pursuant to their respective Commitments (and to exercise their respective Rights) are subject to satisfaction as of the Closing of the following conditions precedent, each of which may be waived in writing by the Required Backstop Interest; provided that, solely in the event that the Restructuring is consummated out-of-court, the conditions set forth in Sections 6.1(a), (d), (e), (f), (i)(A) and (w) shall automatically be deemed to have been waived by the Required Backstop Interest as of immediately prior to the Effective Date.
