Common use of Conditions of the Underwriters' Obligation Clause in Contracts

Conditions of the Underwriters' Obligation. The obligation of the Underwriter to purchase and pay for the Notes as provided herein shall be subject to the accuracy as of the date hereof and the Closing Date (as if made at the Closing Date) of the representations and warranties of the Sponsor contained herein (including those representations and warranties set forth in the Sale and Servicing Agreement and incorporated herein), to the accuracy of the statements of the Sponsor made in any certificate or other document delivered pursuant to the provisions hereof, to the performance by the Sponsor of its obligations hereunder, and to the following additional conditions:
